HPE Closes $14 Billion Acquisition of Juniper Networks, Forms AI-Centric Networking Unit

Hewlett Packard Enterprise (HPE) has finalized its landmark $14 billion acquisition of Juniper Networks, creating a new AI-centric networking division and reshaping the competitive landscape for cloud and AI infrastructure.

The deal, first announced in January 2024, closed on July 2, 2025 after overcoming significant regulatory hurdles, including a U.S. Department of Justice antitrust settlement requiring divestitures and licensing concessions.

Strategic Transformation

The acquisition doubles HPE’s networking business and combines Juniper’s AI-native network technology with HPE’s Aruba portfolio. The new HPE Networking unit, led by former Juniper CEO Rami Rahim, will focus on two core strategies:

  1. AI for Networks: Using AI to optimize network operations, predict failures, and automate management.

HPE CEO Antonio Neri declared the move positions HPE “at the epicenter of IT transformation,” where AI and networking converge. “Together, we offer a secure network purpose-built with AI and for AI,” Neri emphasized.

Regulatory Concessions

The U.S. Department of Justice mandated significant concessions to preserve competition:

  • Divestiture: HPE must sell its Aruba Instant On business (targeting small businesses) within 180 days.

  • Licensing: Juniper’s Mist AI operations algorithms will be licensed to competitors via auction, though HPE retains core IP and data.

Neri downplayed the impact, calling Instant On a “very small business,” while Rahim stressed that Juniper’s decade of AI training data remains a key advantage.

Moreover, Rahim clarified that while Mist AIOps for WLAN must be licensed to competitors per DOJ requirements, no core Juniper/Mist products are being divested. “Mist stands as the industry’s leading AI-native platform,” he asserted, noting its Gartner leadership position.

Market Impact

The deal accelerates HPE’s push into high-growth areas:

  • Networking will contribute over 50% of HPE’s operating income.

My Personal View of the Acquisition

I have known Juniper for years, as it has always been the main competitor to Cisco networking solutions (which is the main product vendor I have worked with).

I have also worked with Juniper routers and other networking products in my career as network engineer.

I see this acquisition as a big win for HPE since the company will benefit a lot from Juniper’s solid networking experience and innovation. In more details, HPE strategic value from the acquisition includes:

  • Expansion of AI Capabilities: Juniper’s Mist AI platform is a significant factor in the acquisition. Mist AI is considered to be years ahead in cloud management, AI, and machine learning, which aligns with HPE’s goals to enhance its AI-driven networking capabilities.
